General Terms and Conditions for Trainings and Courses

  1. Area of application

1.1   The following general terms and conditions apply to all legal transactions of the organizer under this contract with its contractual partner, hereinafter referred to as “participant”. Contractual partners can be natural persons or legal entities.

1.2   The participant will be notified of any changes to these terms and conditions in text form. They are considered approved if the participant does not object in text form. The participant must send the objection to the organizer within 4 weeks after notification of the changes.

  1. Subject of contract

2.1   The organizer offers further education events. A precise description and listing of the range of services offered shall be announced by the organizer, inter alia, in its business premises, its website and other media used by it.

  1. Formation of the contract

3.1   The participant makes a binding offer to conclude the contract by sending the completed and signed declaration of participation by mail, fax, electronic mail or by verbal agreement and subsequent submission of a written declaration of participation.

3.2   Each participant will receive a confirmation or rejection letter after receipt of their declaration of participation. The contract is concluded when the confirmation letter is received by the participant.

3.3   In the case of a group registration, the organizer concludes a participation contract with the person responsible for the participants or with the person authorized to give instructions (e.g. personnel management) about and for the group. This is also binding. Items 3.1. and 3.2. apply accordingly.

3.4   The organizer is entitled to postpone or cancel an event for reasons for which he is not responsible (e.g. short-term prevention of the speaker without replacement possibility, force majeure or insufficient number of participants). The participant will receive immediate notification of this to the contact details he/she has provided.

3.5   In the event of withdrawal by the organizer, the participant will be offered a comparable replacement. The participation fee paid will be credited accordingly for the substitute offer. If the participant does not make use of the substitute offer, the participant fee will be refunded. The organizer expressly excludes the reimbursement of travel and accommodation costs of the participant.

  1. Contract duration and payment

4.1   The validity period of the contract results from the booked event.

4.2   Terms of payment: The participation fee for the respective event is based on the current price table of the organizer at the time of the conclusion of the contract.

4.3   All payments are due 10 days after invoicing with regard to the payment date shown without any deductions. If the payment dates are exceeded, the organizer is entitled to interest on arrears in the amount of 5 percentage points above the applicable base interest rate without further reminder. The right to claim further damages remains unaffected.

4.4   Cash expenses and special costs incurred by the organizer at the express, written request of the participant will be charged at cost price.

4.5   All services of the organizer are inclusive of the legally valid value added tax.

  1. Scope of services and services not taken up

5.1   The extent of services depends on the respective contract between the organizer and the participant.

5.2   If individual services are not used by a participant, the organizer reserves the right to charge the entire participation fee nevertheless.

  1. Obligations of the participant

6.1  

The participant behaves contrary to the contract if s/he disturbs the event permanently or if s/he behaves contrary to good morals to a considerable extent, so that a smooth course of the event cannot be guaranteed. In this case, the organizer reserves the right to exclude the participant from the event. The organizer reserves the right to charge the participation fee. The participant is at liberty to provide evidence of a lesser expense.

6.2   The seminar leader/coach/trainer is authorized to give instructions to the participants for the duration and within the context of the event.

6.3   The participants undertake not to be under the influence of alcohol or other narcotics, which can impair the ability to react and the physical condition. In the event of violations of this, the organizer is entitled to exclude the participant from the event.

6.4   Prior to the event, the trainer/coach/seminar leader of the organizer must be informed of any health problems and any illnesses so that the relevant participants can be protected from harm in the best possible way. The trainer/coach/seminar leader will treat this information confidentially.

6.5   In case of recognizable health problems of the participant, the organizer is entitled to exclude the participant concerned from the event. The organizer reserves the right to charge the participation fee on a partial basis.

  1. Confidentiality

7.1   The organizer agrees to maintain secrecy about all company and business secrets of the participant/client during the duration of an event and also after its termination.

  1. General regulations

8.1   Subsidiary agreements and amendments to the contract must be in writing to be legally effective. This written form requirement may not be deviated from either verbally or tacitly.

8.2   The possible invalidity of individual provisions of these General Terms and Conditions shall not affect the validity of the remaining provisions.

8.3   The omission of the additional and explicit use of the feminine form in handouts, materials, and other documents and contracts does not imply discrimination and is solely due to improved linguistic comprehension.

8.4   These terms and conditions and its implementation shall be governed exclusively by German law.

8.5   The place of jurisdiction is agreed to be Hamburg, provided that the contractual partner / client / participant is a registered trader within the meaning of the German Commercial Code (HGB).
